Terms and Conditions

1. Acceptance of Terms

By accessing or using the RemodelFi platform, website, mobile application, or any related services (collectively, the "Platform"), you ("User") agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to specific services. If you do not agree to these Terms in their entirety, you must immediately cease using the Platform.

These Terms constitute a legally binding agreement between you and RemodelFi, Inc. ("RemodelFi," "we," "our," or "us"). Your continued use of the Platform following any modifications to these Terms constitutes your acceptance of such changes.

2. Description of the Platform — Marketplace Only

RemodelFi is a neutral marketplace platform that facilitates introductions and connections between: (a) homeowners and property owners seeking home remodeling, renovation, construction, or related services ("Homeowners" or "Customers"); (b) independent licensed contractors, subcontractors, tradespeople, and construction professionals ("Contractors"); and (c) third-party financing institutions, lenders, and financial service providers ("Financing Partners").

RemodelFi is not a contractor, construction company, general contractor, employer, staffing agency, lender, financial advisor, insurance company, or surety. We do not perform, supervise, oversee, control, or guarantee any construction work, renovation services, labor, materials, financing products, or any other services provided by Contractors or Financing Partners. All agreements for services or financing are entered into solely between the relevant parties (Homeowners and Contractors, or Homeowners and Financing Partners), and RemodelFi is not a party to any such agreement.

3. No Responsibility for Contractor Work, Quality, or Conduct

RemodelFi expressly disclaims all responsibility and liability for:

• The quality, safety, legality, timeliness, or outcome of any construction, renovation, repair, or other work performed by any Contractor;
• Any acts, omissions, negligence, misconduct, fraud, misrepresentation, or breach of contract by any Contractor;
• Whether any Contractor holds valid, current, or required licenses, permits, certifications, bonds, or insurance in the applicable jurisdiction — Users are solely responsible for independently verifying these credentials;
• Any property damage, structural damage, or defects in workmanship resulting from services performed by a Contractor;
• Any failure by a Contractor to complete a project, abandon a project, or deliver work that meets agreed-upon specifications;
• Any disputes arising between Homeowners and Contractors regarding scope of work, change orders, materials, timeline, or payment;
• Any violation of building codes, zoning laws, permit requirements, or other applicable regulations by a Contractor;
• Any warranties, guarantees, or representations made by Contractors, whether express or implied.

RemodelFi does not endorse any Contractor listed on the Platform. Profile information, ratings, and reviews are provided for general informational purposes only and do not constitute a warranty or guarantee of a Contractor's qualifications, character, or fitness for any particular purpose.

4. No Responsibility for Personal Injury or Property Damage

RemodelFi is not responsible or liable in any manner for any personal injury, bodily harm, death, property damage, loss, theft, or any other damages or losses of any kind ("Losses") that occur in connection with or arising from:

• Any construction, renovation, repair, or other work performed by a Contractor at a Homeowner's property or any other location;
• The presence of Contractors, their employees, subcontractors, or agents on a Homeowner's property;
• The use of tools, equipment, materials, chemicals, or substances by any Contractor;
• Any accidents, incidents, or unforeseen events occurring during the performance of any work;
• Structural failures, collapses, or other consequences of construction activities;
• Exposure to hazardous materials, including but not limited to asbestos, lead, mold, or chemical substances;
• Any action or inaction by a Contractor, Homeowner, third party, or anyone else connected to a project facilitated through the Platform.

It is the sole responsibility of the Homeowner to ensure that their property and its occupants are adequately protected before, during, and after any construction work. It is the sole responsibility of the Contractor to maintain adequate workers' compensation, general liability, property damage insurance, and any other required coverage for their operations.

5. No Responsibility for Payments, Financial Transactions, or Financing

RemodelFi provides tools to facilitate payment communications and milestone tracking between Homeowners and Contractors, and to connect Homeowners with Financing Partners. However:

• RemodelFi is not responsible for any payment disputes, non-payment, underpayment, overpayment, or fraudulent transactions between Homeowners and Contractors;
• RemodelFi is not a party to any financing agreement, loan agreement, credit agreement, or other financial instrument between a Homeowner and any Financing Partner;
• RemodelFi does not guarantee loan approval, financing availability, interest rates, loan terms, or any other aspect of any financing product offered by Financing Partners;
• RemodelFi is not responsible for any adverse financial consequences, including but not limited to loan defaults, credit score impacts, debt collection actions, or legal proceedings arising from financing obtained through the Platform;
• All financing decisions are made solely by the Financing Partner, and RemodelFi has no control over or responsibility for such decisions;
• RemodelFi is not a licensed lender, mortgage broker, financial advisor, or credit counselor and does not provide financial advice of any kind;
• Any fees, interest, penalties, or other charges imposed by Financing Partners are solely the responsibility of the User and are governed exclusively by the agreement between the User and the Financing Partner.

6. Contractor Obligations and Representations

By registering as a Contractor on the Platform, you represent, warrant, and agree that:

• You hold all required licenses, permits, certifications, and registrations required by applicable federal, state, and local law to perform the services you offer;
• You maintain valid and adequate general liability insurance, workers' compensation insurance (where required), and any other insurance required by law or industry standards;
• All information you provide on the Platform is accurate, complete, and not misleading;
• You will comply with all applicable laws, regulations, building codes, safety standards, and permit requirements in performing any work;
• You are an independent contractor and not an employee, agent, joint venturer, or partner of RemodelFi;
• You assume full and sole responsibility for all work performed, including all safety obligations, workers' compensation obligations, and tax obligations;
• You will not engage in fraudulent, deceptive, unfair, or illegal business practices;
• You will maintain appropriate professional conduct with Homeowners and will honor any agreements entered into through the Platform.

7. Homeowner Obligations and Representations

By registering as a Homeowner on the Platform, you represent, warrant, and agree that:

• You own or have the legal authority to authorize construction work on the property you list on the Platform;
• All information you provide regarding your project is accurate and complete;
• You are solely responsible for independently verifying the credentials, insurance, licensing, and suitability of any Contractor before entering into any agreement;
• You are solely responsible for obtaining any permits or approvals required for your project, or for delegating this responsibility to a Contractor in a written agreement;
• You will honor all payment obligations agreed upon with any Contractor;
• You understand that RemodelFi does not guarantee the outcome of any project or the conduct of any Contractor.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REMODELFI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

• Loss of revenue, profits, or business opportunities;
• Loss of data or information;
• Property damage or personal injury;
• Cost of substitute goods or services;
• Any damages arising from the work of any Contractor, the terms of any financing agreement, or any transaction facilitated through the Platform;
• Any damages resulting from unauthorized access to or alteration of your transmissions or data.

IN NO EVENT SHALL REMODELFI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO REMODELFI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

9. Indemnification

You agree to defend, indemnify, and hold harmless RemodelFi, its officers, directors, employees, contractors, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to the Platform;
• Any work you perform or have performed through the Platform;
• Your violation of these Terms;
• Your violation of any third-party right, including without limitation any intellectual property, privacy, or property right;
• Any claim that your use of the Platform caused damage to a third party;
• Any disputes between Homeowners and Contractors or between Users and Financing Partners;
• Any personal injury, property damage, or other harm arising from any project connected to the Platform.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

REMODELFI DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY INFORMATION PROVIDED ON THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT; (C) ANY CONTRACTOR IS PROPERLY LICENSED, INSURED, BONDED, OR QUALIFIED; OR (D) ANY FINANCING PRODUCT WILL BE AVAILABLE TO YOU OR SUITABLE FOR YOUR NEEDS.

11. Dispute Resolution Between Users

RemodelFi has no obligation to mediate, arbitrate, resolve, or otherwise become involved in any dispute between a Homeowner and a Contractor, or between a User and a Financing Partner. However, RemodelFi reserves the right, in its sole discretion, to suspend or remove from the Platform any User who is the subject of repeated or credible complaints, or whose conduct violates these Terms.

Any disputes between Users regarding projects, payments, or services shall be resolved directly between the parties. Users are encouraged to maintain detailed written records of all agreements, communications, and transactions related to any project.

12. Dispute Resolution — RemodelFi and Users

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, and not through class action, consolidated, or representative proceedings.

CLASS ACTION WAIVER: YOU AGREE THAT ALL CLAIMS SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles.

13. Background Checks and Verification

RemodelFi may perform, or may engage third-party services to perform, certain background checks or license verifications on Contractors as part of the verification process. However:

• RemodelFi does not guarantee the accuracy, completeness, or currency of any background check or verification;
• A "verified" designation on the Platform indicates only that certain information was checked at a specific point in time and does not constitute an endorsement or guarantee;
• Homeowners are solely responsible for conducting their own due diligence before hiring any Contractor.

14. Insurance Requirements

RemodelFi strongly recommends, but does not require, that:

• Homeowners maintain adequate homeowner's insurance, builder's risk insurance, or similar coverage during any renovation project;
• Contractors maintain current general liability insurance (minimum $1,000,000 per occurrence), workers' compensation insurance, and contractor's professional liability insurance;
• All parties confirm insurance coverage before commencing any work.

RemodelFi is not responsible for any uninsured or underinsured losses, and does not verify insurance coverage on an ongoing basis.

15. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, audio, software, and code, are owned by RemodelFi or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Platform without our express prior written consent.

By submitting content to the Platform (including profile information, photos, reviews, and project descriptions), you grant RemodelFi a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, and distribute such content in connection with operating and promoting the Platform.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. RemodelFi may share your information with Contractors, Financing Partners, or other third parties as necessary to facilitate the services offered through the Platform.

17. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any regulations;
• Circumvent the Platform to transact directly with parties you met through the Platform in order to avoid applicable fees (during the first 12 months after introduction);
• Post false, misleading, or fraudulent information;
• Harass, abuse, or harm any other User;
• Solicit personal information from minors;
• Use automated bots or scrapers to access the Platform;
• Attempt to gain unauthorized access to the Platform or its systems.

18. Termination

RemodelFi reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to a violation of these Terms. Upon termination, all rights granted to you under these Terms will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to indemnification, limitation of liability, and dispute resolution.

19. Modifications to the Platform and Terms

RemodelFi reserves the right to modify, suspend, or discontinue the Platform or any part thereof at any time without notice or liability. We may update these Terms at any time by posting the revised Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. We will notify registered users of material changes by email or through a notification on the Platform.

20. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated herein, constitute the entire agreement between you and RemodelFi with respect to the Platform and supersede all prior and contemporaneous agreements, representations, and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
